In consideration of your allowing us for the delivery of the above 3×40′ container with cargo from Chittagong port for un-stuffing the cargo at our premises and to return the container under our custody (for maximum period of 7 days from the date of delivery from port and customs) after a joint survey (to ascertain the condition of the container at the time of delivery and return to OCL) we the (AUTO TEXTILES LTD.) hereby undertake and guarantee that:

Dear Sir,
Ref. to above would like to draw your kind attention to allowing our appointed C&F agent(Auto Garments Ltd) to pick up the aforesaid laden containers against our request to load the same at our premises-AUTO WASHING LTD, Dhaka,Bangladesh and back the same at carriers nominated depot SAPL.
We the undersigned consignee is the custodian of the aforesaid containers until back the containers to aforesaid location and thereby undertake and guarantee that-
1. The container will be returned to OCL DEPT after un-stuffing of the cargo without any damage during its stay under our custody against a clean receipt from your office stating the safe return of the container which will be ascertained through a joint survey by surveyors nominated by you and ourselves. We shall keep you and your principals harmless from any damage/loss sustained to the said containers or any unexpected event take place by any third party/ parties, which may cause damage to any third party/ parties during transportation or white the containers remain under our custody or our C&F agent or contractor or Affiliates or associates.
2.Only Chassis Trailers with working twist locks will be used for transporting the containers while taking the containers to our premises and returning them back. We Shall return the containers to your predetermined place CPA or nominated depot within seven days from the date of pick up from our nominated depot.
3.This guarantee shall remain valid until safe return of the container as empty to OCL DEPOT.We shall pay for the condition survey (if applicable) of the containers to be conducted through your nominated surveyors before pick us the containers from your nominated depot and after return of load containers to CPA or nominated depot.
4. Upon return the empty containers to your depot or CPA, we shall notify you in writing and arrange for the outward and inward condition survey (if applicable) through your nominated surveyor under our cost A/C and submitted report to your office, If any containers is damage
during unload or during the period it/ these remain under our custody, WE shall pay for the repairers of the containers according to international standard to make it cargo worthy for export. Your surveyor report/assessment of loss will be acceptable by us.
5.The container rent will be paid till return and handover of the empty container to OCL DEPOT. Any claim from third party or parties that may arise because of any unexpected event during this period (until return of the containers to your custody) will be settled by us at our risk and responsibility.
If the container is not returned in time, then a detention charge will be paid by our appointed C & F agent (AUTO GARMENTS LTD.) in advance for 15 days in addition to detention charge accrued from date of discharge of the container in Chittagong port excluding 5 days standard free time.
6. In the event of any damage or losses to the container we will pay the compensation to you for any loss/damages as assessed by the above mentioned joint survey, failing which you will be at liberty to en-cash this cheque deposited with you as Truck Security to recover the losses/cost incurred for repairing the damages and return the balance amount from this cheque. We shall also pay for the total movement charge (Including Haulage, Lift On/Off and Doc In/Out) in the respective port / depot from where containers will be picked up.
7. In case of any unexpected event that may take place for which if we fail to return any containers within maximum fifteen days (Although we intend to return the containers within seven days) we shall bound to compensate the value of the containers to you on behalf of your principal according to their book value which will be as below- Taka Two Lac (=2,00,000.00) per 20 Footer and Taka Four Lac (=4,00,000.00) per 40 Footer
8. Should the container suffer any damage, we will promptly inform Maersk Line without attempting to undertake any repairs on our own. The damages then will be jointly surveyed by our nominated surveyor and from Maersk Line. In case of any unexpected event and compensate the same we will deposited a valid cheque by mentioning the equivalent taka as per aforesaid rate and you will have the full right to place the same to the respective bank for compensate.
This undertaking will be effective from the date of pick up the laden containers from your nominated port/depot and will remain valid until safe and sound return of the empty containers to your nominated depot/CPA.
Total Containers -3x40H=(3 x 4,00,000.00)-
Cheque Amount Taka=12,00,000.00(Twelve Lac) Only.
